Dear Professional Colleagues,

 

The preparations for the One Day Joint Seminar on `Role &  Responsibilities of Directors in the Emerging Scenario’ being organised by the Southern India Regional Council of The ICSI and Southern India Chamber of Commerce & Industry, Chennai on 26th June, 2004 are in full swing and confident of getting positive response from various quarters. 

 

During the month of May 2004, I had the privilege of attending the programmes conducted by Madurai, Tiruchirapalli and Visakhapatnam Chapters.  The Madurai Chapter celebrated its Foundation Day on 15th May 2004 in a befitting manner.  Similarly, the Visakhapatnam Chapter had organised a programme to coincide with their Annual General Meeting on 22nd May 2004.  During the course of interaction with the Members and Students, lot of suggestions have been received for improving the activities of the Chapter, organizing programmes of topical importance for the Members and Student Services. The Visakhapatnam Chapter has also  expressed to host a National Seminar on the current topic of importance during the month of August/September, 2004. During the interactive meeting with the Members of the Tiruchirapalli Chapter, it is felt that own premises for the Chapter will facilitate strengthening its activities.

 

The Calicut Satellite Chapter is planning to organise a Three Days residential Conference during 9th, 10th & 11th July 2004 on “Shift in Legislative, Social and Commercial Priorities – Challenges & Opportunities”.  The Conference is going to be held in a hill resort, which is 60 kms. away from Calicut and the transportation to the venue will be arranged by the Chapter.  Those who are interested to attend the Conference may please communicate to either SIRC or Calicut Satellite Chapter on email or telephone.  [email:siro@icsi.edu  Phone:28279898/28268685].

 

The theme for the 30th Regional Conference of SIRC has been chosen tentatively as “Emerging Corporate Laws in WTO Environment”.  The sub-themes for the Two Day Conference are being worked out and I request the Members to give suggestions in this regard.  I would also request the Members to keep the dates of the Regional Conference i.e . 6th & 7th August 2004  free for attending the Conference, keeping in view of the busy schedule of activities ahead including Annual General Meetings of various Companies in the month of August & September 2004.

What is eNEWSLETTER and why ICSI-SIRC introduced it?

This is to maintain a quick communication approach by The Institute of Company Secretaries of India – Southern Region Council to disseminate News, Reports and Announcements from SIRC-Chennai and Chapters in Southern India to our Members and Students.  The eNewsletter has been created to provide more information with visuals and distribute the same quickly to browse on  the users' Personal Computer. It is also an attempt to encourage eDocuments creation and usage culture.

What are the technical features of this eNewsletter?

In order to use this  eNewsletter, you need a computer with Microsoft Windows 95, 98, NT4, Me, 2000 or XP, and Internet Explorer 5 or later installed. This eNewsletter has been created in the Portable Document Folder [popularly known as pdf file] which works offline. Your computer need not be connected to Internet while you wanted to browse the contents. The eNewsletter has been created in pdf file to enable you to download onto your PC quickly as the file size is always  compressed. You need to have a pdf reader to open this file. Professional Development Meeting – 7th May, 2004

This Professional Development Meeting on   `Companies (Auditor’s Report) Order, 2003 [CARO] & the Role of Company Secretaries’  on 7.5.2004. was addressed by  S Srikanth, Chartered Accountant. C Sudhir Babu, Chairman, SIRC of The ICSI welcomed and introduced the Speaker.

Srikanth gave a detailed and exhaustive multimedia presentation on  CARO 2003 and informed that Companies (Auditor’s Report) Order, 2003 [CARO]  came into effect from 1st July 2003. He listed out the companies not covered by CARO and those that came under the purview of CARO. 

He made analysis of specific clauses in CARO like fixed assets, investments, loans etc.  He also observed that the CARO was silent on matters relating to service companies and trading companies. R Sridharan, Vice-Chairman, SIRC of The ICSI proposed vote of thanks. 

Seminar on `Recent Changes in IPR  (Trade Marks & Patents) and SEBI Updates’  8th May, 2004

 

 

 

The first technical session of this seminar was addressed by Rajesh Ramanathan, Advocate, Lal & Sethi, Bangalore   on  `Recent Changes in IPR’. Rajesh in his address brought out in detail the recent changes in Trade Marks Law by listing of the various changes to provide for registration and better protection of trade marks for goods and services and for the prevention of the use of fraudulent marks.  He also elaborated on the procedure for registration and the mode of transmission of trade marks and protection of trade marks. Rajesh also listed out the defenses in an infringement action and passing of actions.  B Ravi , Member of SIRC, The ICSI proposed vote of thanks.

 

Second technical session on SEBI Updates was addressed by  T K Bhaskar, Advocate, Chennai. in his address brought forth  various guidelines issued by SEBI and dealt in detail about each of them. P Sampath Kumar, Senior Officer (Listing), Madras Stock Exchange Limited interacted with the delegates and clarified various queries on the listing agreement. 

 

This Seminar was co-ordinated by B Ravi, Chairman, Practising Company Secretaries Advisory Committee and Member, SIRC of The ICSI. Earlier, B Ravi, welcomed and introduced  the Speaker and at the end proposed vote of thanks. C Sudhir Babu, Chairman, SIRC of The ICSI and Datla Hanumanta Raju, Member, Central Council, The ICSI were present during this  programme.

COMPLIANCE CERTIFICATE – PRACTICAL ISSUES  7th May, 2004 

 

The Speaker for the Study Circle Meeting on the topic “Compliance Certificate – Practical Issues” was   Sanjay Kumar Gupta, Assistant Registrar of Companies, Karnataka, Bangalore. J. Sundharesan, Secretary of the Bangalore Chapter of the ICSI welcomed all present and introduced the speaker. Sanjay Kumar Gupta in his presentation gave a brief introduction on the concept of Compliance Certificate and the intent with which it was introduced. He shared many mistakes, lacunae, non-reporting, contradictory reporting etc that he had found while scrutinizing Compliance Certificates filed with the Registrar of Companies.

He covered almost all aspects of the Compliance Certificate and stated that the process of issuing a Compliance Certificate comprised of

 

(i)  Report on maintenance of statutory and non–statutory registers / records

(ii) Report on Filing of Returns / Forms with the ROC by way of Annexure ‘A’ to the certificate;

(iii) Report on Compliance of various provisions of the Companies Act, 1956; and

(iv) Reporting of violation, prosecution launched, penalty levied etc.

 

He then discussed some of the vital areas where Company Secretaries needed to take extra care while finalizing the certificate. Some of these were : while reporting the status of a Company based on its share capital, declaration of holding beneficial interest if any whereby an Indian Company would become a subsidiary of a Foreign Company which would in turn require the compliance of various other Sections.

 

Compliance relating to Section 217 of the Companies Act, 956, especially with regard to Signing of the Director’s Report ; non-discussion in the report with regard to qualifications or adverse remarks contained in the  Auditor’s Report; and other details that have to be discussed.

 

Reporting on Charges and Satisfaction of Charges filed by companies with Registrar of Companies ; issues of dividend, appointment of Managing Director/Whole time director/manager in compliance of Section 269 and Schedule XIII of the Act ; Buy-Back of shares etc.

 

He also gave an elaborate checklist which the members could use to ensure proper reporting while issuing the Compliance Certificate.

 

There was very lively discussion / interaction by the 31 members present who raised many questions, sought clarification and solution to various cases they had came upon while issuing Compliance Certificate.

 COMPLIANCE ISSUES RELATING TO ANNUAL REPORTS   - 28th May, 2004 

 

J. Sundharesan, Secretary,   Bangalore Chapter of the ICSI seen addressing, introduced the speaker. Others on the dais were  Santosh Kumar, Assistant Registrar of Companies, Karnataka, Bangalore who was speaker in this Study Circle Meeting and  G.V. Srinivasa Murthy, Managing Committee Member, Bangalore Chapter

 

Santosh Kumar in his presentation on the topic “Compliance Issues Relating to Annual Reports”shared from his experience of having scrutinised a number of Annual Reports of various companies. He covered areas relating to the Balance Sheet such as Share Capital, with stress on how to treat advance against share application money ; Reserve and Surplus ; Secured Loans; Unsecured Loans ; Investments with emphasis on Schedule VI and AS-13 ; Fixed Assets; Disclosures in Financial Statements and Current Assets and Loans and Advances. He also covered in detail the requirements of AS-2 and AS-20, AS-1, AS-5, AS-17, AS-18 and AS-4, apart from highlighting the importance of reporting on events of significance occurring after the Balance Sheet date. He then covered aspects regarding Notice of Annual General Meeting namely : Retirement of Directors by Rotation; Reappointment of Additional Directors; status of Indian Private Company which is a Subsidiary of a Foreign Body Corporate; Declaration of Dividend and various compliance’s required under Section 217 of the Companies Act dealing with Director’s Report. In his very exhaustive talk, Santosh Kumar highlighted various common mistakes, lacunae, omissions and also areas where extra care and caution were required. There was very lively participation from the 40 members present with a number of questions, clarifications etc being asked/sought. Due to paucity of time the meeting had to close and was proposed to be continued on 18th June 2004. Ms. T.N. Usha, Member of the Institute presented a memento to Santosh Kumar.

SEBI Guidelines on Preferential Allotment in light of  recent amendment 29 May, 2004

An interactive meeting of  the Practising Company Secretaries to discuss on "SEBI Guidelines on Preferential Allotment in light of Amendment dated 8th April, 2004" was organised on Saturday, the 29th May, 2004.  Ms. Rashida Adenwala, Practising Company Secretary initiated the discussion. She drew attention to deletion of exemption route to Equity shares issued on Swapping of Shares, Lock-in–period of one year applicable to shares issued on Debt Structuring, to Partly paid shares  from the date of conversion into fully paid up shares, holding of  entire shareholding in demat form, Lock-in of entire shareholding of the promoters for six months, non eligibility of promoters who sold shares six months prior to allotment and most importantly the reduced time limit from three months to fifteen days.  She also explained important guidance points to be kept in view while dealing with shareholders approval, stock exchanges and SEBI.

 

V. Ahalada Rao, Secretary, Hyderabad Chapter gave a presentation on various Notifications/Circulars released by SEBI/DCA on Over-head-projector (OHP). Earlier  P. Jagannatham, Chairman of the Chapter welcomed the members to the meeting.  The meeting concluded with a vote of thanks proposed by  V. Ahalada Rao, Secretary of the Chapter.

Faculty Meeting  - 2rd May, 2004  

The  Chapter has organised a Faculty Meeting on Sunday, the 2nd May, 2004 at Chapter premises. While addressing the Faculty Members, EN Viswanath, Chairman Oral Coaching & Students’ Facilities Committee emphasized on discipline, attendance, eligibility criteria for issue of oral completion certificates, preparation and issue of notes to  the students. He suggested the Faculty Members to conduct periodically personal Counselling and to involve in the career counselling programmes. He further appealed the faculties to impart quality teaching with practicals and examples and desist students from going to private tuitions. He further requested the faculties to involve in every programme organized by the Committee from time to time. SV Suryanarayana, Member– SIRC also address the faculty Members highlighting attendance, punctuality etc.

Inauguration of  54th Batch of Oral Coaching Classes on -  3rd May, 2004

54th Batch of Oral Coaching Classes of Hyderabad Chapter was formally inaugurated on Tuesday, the 3rd May, 2004 at the Chapter Premises by  P.Jagannatham, Chairman of the Chapter and thereafter the Chairman of the Chapter addressed the students emphasizing the importance of Company Secretaryship course and role of Company Secretary in the present economic environment

Earlier Shri EN Viswanath, Chairman - Oral Coaching & Students’ Facilities Committee welcomed the Students & dignitaries. Shri SV Suryanarayana, Member – SIRC addressed the students and informed the students about the role, structure and functions of the Institute, Regional Councils & Chapters of ICSI. Shri S.Balachandra, Company Secretary addressed the students on success in professional life and preparation for professional examination. Shri Viswanath E.N, the Chairman of the Oral Coaching & Students’ Facilities Committee informed the students about rules, regulations and discipline governing studies, eligibility criteria for issue of coaching completion certificates, attendance & library facilities etc. Shri V.Ahalada Rao, Secretary of the Chapter proposed a vote of thanks.

Guest Lecturers for Students -  3rd May, 2004

Full Day Guest Lectures Classes were organized on " Taxation, Company Law and Company Secretarial Practice" on Sundays, the 9th & 16th May, 2004 for the benefit of the students of Group-I and Group-II of Intermediate. Nearly 65 students  attended the guest lectures and made use of the benefit of guest lecture. Sri E.N. Viswanath  and  Rajinish Popat, Chairman and Member respectively  of the Oral Coaching & Students' Facilities Committee participated as observers for these guest lectures.

Parents’ Meet – 23rd May, 2004

 

A meeting with parents of the Students  of 54th Batch Oral Coaching was organized on 23rd May, 2004  S V Suryanarayana Member of SIRC & Oral Coaching Committee inaugurated the Parents’ Meet by lighting of the Lamp and later gave a presentation on "structure & functions of ICSI". P.Jagannatham, Chairman of the Chapter explained the parents about the activities of the Chapter.  S. Ramakrishnan, Past Chairman of the  Chapter

explained about opportunities for job &  practice  for CS. E N Viswanath Chairman Oral Coaching Committee advised the parents to provide  moral support to their children to  purse the course successfully. Faculty Members also spoke  on the occasion. E N Viswanath answered and provided clarifications to the observations by the parents. S. Mohan Rao Member of Oral Coaching Committee proposed a vote of thanks.

Career Awareness Programme 30th May, 2004

A Career Awareness Programme was organized on 30th May 2004 at Presidency Degree College , Kukatpally, Hyderabad  co-ordinated by RB Ankam Secretary  of the College.  E N Viswanth, Chairman-Oral Coaching Committee of the Chapter, explained the students and their parents about ICSI, CS Course - Postal & Oral Coaching, Registration, Syllabus, Fee Structure, Examination, Exemptions, Employment Opportunities, & Attendance, Eligibility Criteria, Qualities to pursue the course etc. . B. Pavan Kumar, Faculty of Hyderabad Chapter explained about scope of Practice for CS. Later various doubts raised by the students were clarified during interactive session.

Educational Fair - 16 May, 2004

The Chapter participated in Educational Fair held on 16th May 2004 organized by DINAMALAR a leading Tamil Daily.  Around 40 Educational Institutions participated in the Fair. Nearly 1000 Visitors attended the Fair.  An audio-visual presentation about the Institute and the career prospects was made.  The Chairman and Managing Committee Members attended to various quires raised by the Parents/Students. Informative brochures of the CS Foundation and Intermediate Course were also distributed at the Fair. 

 

Study Circle Meeting  -  19 May, 2004

G.Ayyaswamy, Company Secretary in Practice, Coimbatore delivered a lecture on "After math of Compliance Certificate to the Practicing side of the Profession".  In his lecture he explained the present position of the Company Secretaries in practice with regard to introduction of Compliance Certificates.  He explored the various follow up works connected with the issuance of the certificates and the responsibilities involved.  D.Ramakrishnan, Assistant Registrar of Companies, Tamilnadu, Coimbatore also narrated the need for improving the quality of the compliance certificate and invited the attention of the members on highlighting the industry about the role of Practicing company secretaries and their contribution towards
better corporate governance. 

Professional Development  Meeting  - 28 May, 2004

G.Ananthakrishnan, B.Com, FCA, GRAD.C.W.A, Partner, Suri & Co, Chartered Accountants, Coimbatore, delivered a lecture on "CRITICAL ANALYSIS OF CARO 2003".  In his lecture Ananthakrishnan, detailed about the implications of Companies (Auditor's Report) Order, 2003 and its features.  An elaborate
analytical comparison of CARO 2003 and MAOCARO 1988 was discussed. To effectively comply with CARO 2003 he pointed out the important areas, which Auditors and Company Secretaries should coordinate with each other.  He also emphasized the need of acquiring knowledge of accounts by Company
Secretaries and Corporate Laws by Chartered Accountants.

28th Foundation Day of the Chapter - 15 May, 2004

 

 

On 15.5.2004 Madurai Chapter celebrated its 28th Foundation Day at Chapter Office Premises.   C.Sudhir Babu, Chairman, SIRC of ICSI was the chief guest.  B.Balakrishnan, Chairman of the Chapter welcoming the gathering gave details of the formation of the Chapter, its activities during the previous years, services rendered by the erstwhile office bearers and proposed activities of the Chapter and requested the members and students to participate in the programmes.

 

V.S.Krishnamoorthy, Vice-Chairman of the Chapter introduced the chief guest.  C.Sudhir Babu, Chairman, SIRC of ICSI complimented the Madurai Chapter on the eve of its 28th birthday of the Chapter.  He addressed students on introduction of new syllabus, course contents, training requirements, preparation of C.S examination, etc., and advised the students to complete the course and enter into the profession at the earliest. While addressing the members he said about the activities of the SIRC during the year including release of eNews letter every month.  He requested the members to form mega firms among Practising Company Secretaries.  He also informed that the Institute has decided to form a core group with ICAI and ICWAI to create synergistic relationship between the three professions.  He also spoke about introduction of PMQ course on corporate governance, peer review by the Institute. Members and students interacted with the chief guest and raised many queries which were suitably replied by him. M.Govindarajan, Secretary of the Chapter proposed vote of thanks.
